TOTAL: General Policy regarding the Management of its Human Resources

TOTAL is an international oil and gas company headquartered in France whose presence today spans more than 100 countries.

The Group's operations cover all sectors of the oil chain, upstream as well as downstream, and also include a major segment dedicated to specialty chemicals.

The very nature of the industry in which TOTAL works, the amplitude of the capital employed, the Group's industrial and international magnitude, its status as a listed company, all of these commit the Group to a corporate responsibility towards its shareholders, its employees, its customers and all of its partners as a whole.

This social responsibility must be demonstrated in respecting and protecting people and property, preventing risks, preserving the environment, creating value for shareholders, providing customer service, and developing competencies for employees.

Respect and consideration for the communities in the vicinity of our project sites and installations, the high importance placed on training and cooperation, and the priority of safety and the environment over strictly economic requisites are among the specific aspects of our commitment defined in TOTAL's Health, Safety and Environment Charter, which is applied by all of the Group's establishments and subsidiaries worldwide.

HUMAN RESOURCES: A VITAL ASSET
TOTAL has a clearly established strategy focused on high-paced growth and continually improved profitability.

Sustained success on a long-term basis necessarily means the management and development of human resources with the same care as industrial and financial assets.

The Group's objectives of development, profitability and internationalization are thus tied into a policy for human resources management based on the anticipation of employment needs in each profession and geographic area, training and the transfer of competencies, the identification of "high potential" employees, the optimization of local skills and expertise, and efficient control of personnel costs.

Wherever it is established throughout the world, TOTAL principally employs local nationals. Less than 40% of the Group's 57,555 employees are French, and nearly one thousand work outside their home country. The Group's human resources are managed in line with the evolving diversity of our industrial and commercial undertakings while respecting the specific characteristics of our origins.

At a time when market globalization demands increasing competitiveness and technological advances are working profound changes in work methods and within all professions, employee training is more than ever an indispensable complement to pro-active planning and management. This training contributes to the quality performance of our teams, helps them to adapt to the evolution of the industrial world, and fosters a spirit of enterprise and initiative.

Singling out individuals with the potential to reach the echelons of top management within the Group is part of an ambitious policy that involves specific training and assignments.

Employee motivation is further strengthened by direct involvement in the company's progress and achievements through measures such as gain-sharing schemes, share savings plans, and the development of employee share ownership. Following several share offers reserved for Group members, in France and in countries where this is authorized under local legislation, employees currently hold nearly 3% of the company's capital.
